1. INTRODUCTION

This agreement lists out various terms and conditions (T&Cs) which govern your access to BankFin and Property Management “company” account as well as the services which are offered by the company. Following terms and conditions contain important and key provisions as to your access to bfp.com.np services including property deals, listings, charges, news and information, news, articles. Users must accept and agree to abide by the terms and conditions before posting the information, using the information and making deals, accessing or using the electronic channels or availing of any of the facilities, products or services offered through website or electronic media. Please note that by clicking on “Login” it will be deemed that you have read and understood the terms and conditions and thereby agree to accept and abide by them.

In case you do not agree to accept and abide by the terms and conditions stated herein, please do not access or use this website or electronic media or any pages thereof and please do not avail of any of the Facilities, products or services offered on or through the Electronic Channels.

2. DEFINITIONS AND INTERPRETATIONS
In these terms and conditions (including the Introduction above), unless the context otherwise requires, the following words and phrases shall have the meanings assigned to them here under:

“BankFin & property management” means is an investment and financial service enterprise which deals in investment property, banking facilitation,

“Account” means account opened in BankFin & property management.

“Registration” means registration of users through mobile number or email ID as per registration procedure of the company.

“BankFin & Property ManaID” means your Mobile phone number/e-mail address which is used during registration.

“BankFin and Property Management Account” means account maintained at BankFin and Property Management by a user.

“Visitor” means a website viewer, or  registered user or any person who accesses or visits the BankFin and Property Management’s website.

 “User“, means a person or organization who applies to, or registers to use, or use the company service or products

“Service “means any services that are offered on or through the Electronic Channels of BankFin and Property Management.

“BankFin and Property Management Web Application” means the BankFin and Property Management web portal which can be reached using web address www.bfp.com.np

“BankFin and Property Management Mobile Application” means application developed for mobile devices based in all platforms.

“Notice” means any information (whether written or oral) issued/communicated by BankFin and Property Management to the visitors and users from time to time.

 “Terms and Conditions” means the terms and conditions set out on this page and also all other terms and conditions contained elsewhere on the electronic Channels from time to time. This also specifically includes the documentation and the specific terms agreed by the merchants under the “Merchants Agreement” as well as the terms set out in the Privacy Policy and any other agreement made separately with the involved parties.

“Electronic Channels” means all the electronic media that can be used to access the services provided by BankFin and Property Management (www.BankFin.com.np) and its authorized mobile application.

3. ELECTRONIC CHANNELS
The Electronic Channels facilitates the display and offering of company services for users and on a no-liability and no-obligation basis. Information and facilities on the electronic channels may be displayed and offered in a phased manner at the discretion of BankFin and Property Management. BankFin and Property Management have the right to introduce new information and facilities in its discretion and add, modify, suspend or withdraw any information or facility or the terms thereof in whole or in part with/without any prior notice.

If any of the Terms and Conditions are not acceptable to you or you disagree with any material on the electronic channels, your sole and exclusive remedy is to discontinue using the electronic channels of the company.

4. ELIGIBILITY
BankFin and Property Management services are not available to persons under the age of 16 or to anyone previously suspended or removed by BankFin and Property Management from availing the BankFin and Property Management Services or accessing the BankFin and Property Management platform.

In case of a corporation, trust, association of persons or a firm, which can enter into legally binding contracts under applicable law and shall be authorized to agree to the Terms and Conditions and to access, use and avail the Website and the Services.

Thus, by accepting the T&Cs or by otherwise using the BankFin and Property Management Services on the Platform, you represent and warrant that You have the right, authority and capacity to enter into this agreement and to abide by all the T&Cs as part of this agreement. Further, documents and information provided to us are true and complete in all respect. You shall not impersonate any person or entity or mislead or otherwise misrepresent your identity, age or affiliation with any person or entity.

Furthermore, in the event of any violation of the T&Cs, BankFin and Property Management reserves the right to suspend or permanently preclude such user from availing BankFin and Property Management Services or using the BankFin and Property Management Platform. Such suspension may be with or without prior notice, at discretion of BankFin and Property Management. Further, BankFin and Property Management also reserves the right to block users if necessitated by circumstances thereunder.

5. VISITOR REGISTRATION AND SECURITY
A user must provide their real name and information.

Log in/ Registration
We collect and process your personal information, such as your name, e-mail address, mobile telephone number and few other legal documents when you sign up and later. You must provide accurate and complete information, keep the information up to date and agree to provide us whatever proof of identity we may reasonably ask for.Only the user whose name is registered as the user is allowed to access the account and transact. Assigning your accounts to any third party and authorizing others to use your identity or account is strictly prohibited. You must keep your account password and any identification that BankFin and Property Management provides you, secured and confidential.

You agree to provide complete and true information in the information fields contained in the registration / sign up form. In case of any default in submitting such information, the registered user shall be wholly responsible for any liability flowing from such breach. Further, the registered visitor or the merchant shall also be liable for indemnifying BankFin and Property Management in case of any losses suffered by BankFin and Property Management on account of such breach on part of users.

In case of loss or reset request for the password, a written request shall be sent to email ID of company and BankFin and Property Management may apply reasonable verification procedures to ascertain the identity of the registered user and may only send a communication to the email registered

Notwithstanding anything stated elsewhere in the Terms and Conditions, and despite correct use of your ID and password, BankFin and Property Management shall be entitled in its sole discretion (but shall not be bound) to seek additional written/oral confirmation from you of any instruction, transaction or activity as BankFin and Property Management may deem fit.

The information provided by the BankFin and Property Management must not be construed as an advice or an offer; the decision to use the Service Provider is entirely yours.

Security

• You are not permitted to use BankFin and Property Management and its electronic Channels for any purpose which is unlawful as per constitution of Nepal.

• You are not allowed to provide any false personal information in BankFin and Property Management, or create an account for anyone other than of yourself without permission.

• You undertake that you will use the BankFin and Property Management only for its intended use to obtain the Service. You may not abuse or use the BankFin and Property Management for fraudulent purposes or to cause any inconvenience to others.

• You will keep confidential and will not abuse the information and services you receive from using the BankFin and Property Management.

• You will deploy services without engaging in any unlawful, threatening or harassing behavior or activities whilst using BankFin and Property Management services.

• You understand and agree that your use of BankFin and Property Management will also be subject to our Privacy Policy as may be amended from time to time. By using BankFin and Property Management, you also give your consent as required under our Privacy Policy.

• You will not create more than one personal account.

• If we disable your account for any of your activity causing disrepute to BankFin and Property Management or for any other reason, you will not create another one without our permission.

• You will not share your password (or), let anyone else access your account, or do anything else that might jeopardize the security of your account.

6. PERMITTED AND LIMITS TO ACCESS
Visitors and Users are specifically prohibited from the following:

• Attempt to decompile or reverse engineer the working modality of the BankFin and Property Management and its electronic channels, disassemble or otherwise attempt to discover the source code as regards BankFin and Property Management Services or BankFin and Property Management Platform or any part thereof, except expressly permissible by applicable law.

• Remove, circumvent, disable, damage or otherwise interfere with security-related features of the BankFin and Property Management services and the BankFin and Property Management Platform or features that enforce limitations on the use of the BankFin and Property Management Services or the BankFin and Property Management Platform

• Deliberately interfere with or damage operation of the BankFin and Property Management Services or the BankFin and Property Management Platform by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code or file with contaminating or destructive features

• modify,copy, distribute, transmit, display, perform, publish, license, create derivative works from, transfer or sell any information, designs, logos, trademarks, software, services obtained on or through bfp.com.np, except as permitted by the copyright owner or other right holders thereof.

• Post or transmit any information or software which contains a virus, Trojan horse, worm or other harmful components;

• Post, publish, transmit, reproduce, distribute or in any way exploit any information, software or other material obtained from or through the Electronic Channels for commercial purposes (other than as expressly permitted by the provider of such information, software or other material).

• Restrict or inhibit any other person from accessing, using and enjoying the services of Electronic Channels.

• Publish any advertisements, solicitations, chain letters, Ponzi schemes, investment opportunities or schemes or other unsolicited commercial communication or engage in spamming or flooding.
  Upload, post, publish, reproduce, transmit or distribute in any way any component of the Electronic Channels itself or derivative works with respect thereto, except as permitted by BankFin and Property Management or the copyright owner or other right holders thereof, the Electronic Channels being copyrighted under the relevant laws.

• You will not make any attempt to hack into the Electronic Channels or otherwise attempt to subvert any firewall or other security measures of the Electronic Channels and if you become aware of any shortcoming in the security on the Electronic Channels you shall forthwith inform BankFin and Property Management of the same in writing.

• Sending, Receiving or transacting on BankFin and Property Management for the exchange of goods and services that are prohibited, restricted or otherwise deemed illegal according to Prevailing Laws of Nepal is strictly prohibited.

• If the Electronic Channels contains bulletin boards, chat rooms, access to mailing lists or other message or communication facilities(collectively, “Forums”), you agree to use the forums only to send and receive messages and material that are proper and related to the particular Forum.

• You shall use any software provided on, by or through BankFin and Property Management.com.np only for the purposes for which it has been provided to you and for no other purpose.

7. DISCLAIMERS:
BankFin and Property Management does not, at any point of time during any transaction between the customers/ buyers and the sellers, take the ownership of any of the such products/services in between buyers and sellers. Thus, BankFin and Property Management is not a warrantor/guranteer of the any such  products/services being offered.

BankFin and Property Management makes available general Third Party Content. The provision of third party content is for general informational purposes only.You hereby acknowledge that the third Party content provided to you is obtained from sources believed to be reliable on. BankFin and Property Management does not provide any guarantee with respect to any the third party content and BankFin and Property Management shall not be held liable for any loss suffered by you based on its reliance or use of such third party content.

Access and use of Electronic Channels and the services are entirely at your own risk. BankFin and Property Management disclaim all warranties or guarantees – whether statutory, expressed or implied warranties concerning the availability, accuracy, usefulness, correctness and completeness of information, Facilities, products or services and any warranties of title, warranty of non-infringement of proprietary rights, freedom from computer virus or fitness for a particular purpose.
The BankFin and Property Management services and Platform and any data, information, third party software, reference sites, services, or software made available in conjunction with or through the services and the site are provided on an “as is” and “as available”, basis and without warranties or representations of any kind either expressed or implied.
You expressly agree that use of the BankFin and Property Management Services on the BankFin and Property Management Platform is at your sole risk. It is your responsibility to evaluate the accuracy, completeness and usefulness of all services, opinions, advice, and other information provided on our official site or on the internet generally.
By opening and using BankFin and Property Management account, you agree to comply with all the terms and conditions in this user agreement. Agreeing with terms and conditions stipulated herein allows you to own a user account. User account is for general purpose use only. Using your user account for business purpose is out of scope of this agreement and hence regarded as breach of agreement terms. This covers activities including but not limited to use of user account to collect/disburse payment for business activities, carrying logo/ registered trademark of BankFin and Property Management, publishing user account details for payment collection, using for over-the-counter payments etc.

BankFin and Property Management does not warrant that the BankFin and Property Management services will be uninterrupted or error-free or that defects in the site will be corrected. Although BankFin and Property Management attempt to ensure the integrity of the Electronic Channels by adopting security measures and best industry practices for the electronic channels, however they do not assure or guarantee in any way, that no person will overcome or subvert the security measures and gain unauthorized access to the electronic channels or any customer’s BankFin and Property Management account ,BankFin and Property Management shall not be responsible or liable if any unauthorized person hacks into or gains access to the Electronic Channels, any facility or your accounts. A possibility exists that the Electronic Channels could include inaccuracies or errors. Additionally, a possibility exists that unauthorized additions, deletions or alterations could be made by third parties to the Electronic Channels. Thus, you assume total responsibility and risk for your access and use of the Electronic Channels, all site-related services and all facilities and, services mentioned or advertised on or accessed or availed on or through the Electronic Channels. BankFin and Property Management shall not be responsible for any unauthorized interception of e-mail to/from you or bfp.com.np.

If any disclaimers or limitation of liability in the Terms and Conditions are held to be unenforceable, the maximum liability of BankFin and Property Management shall not exceed the amount paid by you to BankFin and Property Management for that service only.

8. ABOUT ADVERTISEMENTS
Our goal is to deliver notification and alerts through advertising content that is valuable to our BankFin and Property Management users. Advertising Program enables to promote BankFin and Property Management services or products, through BankFin and Property Management-hosted banners and buttons on your websites or in customer emails. BankFin and Property Management may change the content provided through this program at any time for any reason.

9. PRIVACY
The information visitor, user or the merchant hereby grants authority to BankFin and Property Management to collect information in keeping with the terms and the principles of the privacy policy.

10. NO AGENCY
Access to the Electronic Channels, its services, and agreement with the “Terms and Conditions” do not create an agency, partnership, joint-venture or employer-employee relationship between user and BankFin and Property Management except where otherwise specifically agreed or appointed.

11. INDEMNITY
You agree to defend, indemnify and hold BankFin and Property Management, its directors, advisors, officers, employees, Affiliates Partners, and Content and Service Providers harmless from any and all claims, liabilities, damages, costs, expenses and proceedings, including reasonable attorneys’ fees, arising in any way from your use of the Electronic Channels or the placement or transmission of any message, information, software or other materials through the Electronic Channels by you or users of your ID and password or related to any violation of the Terms and Conditions by you or users of your ID and password, and any claims dispute or differences between you and any Supplier.

If anyone brings a claim against us related to your actions, content or information on BankFin and Property Management, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users’ actions on BankFin and Property Management and are not responsible for the content or information users transmit or share on BankFin and Property Management. We are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information you may encounter on BankFin and Property Management. We are not responsible for the conduct, whether online or offline, of any user of BankFin and Property Management.

We try to keep BankFin and Property Management, Error-Free, and safe, but you shall use it at your own risk. We are providing BankFin and Property Management “as is” without any express or implied warranties including, but not limited to implied warranties.

12. CLOSING ACCOUNT
BankFin and Property Management account user must email us regarding closing account prior closing it.

13. TERMINATION
You acknowledge and agree that BankFin and Property Management may, with notice, suspend or terminate your ID, password or account or deny you access to all or part of the Electronic Channels or any Services if you engage in any conduct or activities that BankFin and Property Management in its sole discretion believes not in line with Terms and Conditions, violate the rights of BankFin and Property Management, or is otherwise inappropriate for continued access .Further, if BankFin and Property Management gets knowledge of the death of user, bankruptcy or lack of legal capacity or of circumstances which has material impact on credit worthiness of user(which shall be determined at the sole discretion of BankFin and Property Management) or for any other reason which BankFin and Property Management thinks fit and proper. Such suspension or termination may be for the entire service or part thereof.

You acknowledge and agree that BankFin and Property Management may in its sole discretion deny you access through the Electronic Channels or to any materials stored on the Internet, or to access third party services, Facilities, merchandise or information on the Internet through the Electronic Channels, and BankFin and Property Management shall have no responsibility to notify you or third-party providers of Facilities, services or information nor any responsibility for any consequences resulting from lack of notification.
Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities.Upon termination for any reason, users agree to immediately stop using the BankFin and Property Management Services/BankFin and Property Management Platform.

14. GOVERNING LAW & JURISDICTION
The Electronic Channels, the Terms and Conditions, all transactions entered into on or through the Electronic Channels and the relationship between you and BankFin and Property Management shall be governed by and construed in accordance with the laws of Nepal and no other nation, without regard to the laws relating to conflicts of law. Any transactions entered into on or through the Electronic Channels or the relationship between you and BankFin and Property Management shall be subject to the exclusive jurisdiction of the competent courts located in Kathmandu, Nepal and you hereby accede to and accept the jurisdiction of such courts. Provided that, notwithstanding what is stated above, if BankFin and Property Management so thinks fit BankFin and Property Management may institute proceedings against you in any other court or tribunal having jurisdiction.

BankFin and Property Management accepts no liability whatsoever, direct or indirect for non-compliance with the laws of any country other than that of Nepal. The mere fact that the Electronic Channels can be accessed or used or any facility can be availed of in a country other than Nepal would not mean that the laws of such country would be applicable. Subject to the other Terms and Conditions and applicable law, the Electronic Channels and the Facilities are offered to residents of Nepal.

15. LIMITATION
Notwithstanding any statute or law to the contrary, but to the extent permitted by law, any claim or cause of action arising out of or related to access or use of the Electronic Channels or any Facility or the Terms and Conditions must be filed within three (3) months after such claim or cause of action arose failing which it shall be forever barred.

16. NOTICES
BankFin and Property Management may provide you notices and communications by e-mail, letter, telephone or any other means as BankFin and Property Management may deem fit to the address last given by you. Notices under the Terms and Conditions may be given to BankFin and Property Management by you in writing by delivering them by hand or by sending them by post to BankFin and Property Management’s address mentioned on the Electronic Channels. BankFin and Property Management may, but shall not be bound to, act upon notices and instructions given by you to BankFin and Property Management by e-mail, letter, telephone or any other means as BankFin and Property Management may deem fit.

Documents which may be sent by electronic communication between the parties may be in the form of an electronic mail, an electronic mail attachment, or in the form of an available download from the Electronic Channels shall be deemed to have duly communicated and delivered any communication or document to you if such communication or document is sent via electronic mail (e-mail) to the e-mail address provided by you to BankFin and Property Management. BankFin and Property Management shall also be entitled to act on the basis of any instructions received or purported to be received by BankFin and Property Management from you by e-mail or other electronic means or via the internet. BankFin and Property Management shall also be entitled (but not bound) to act upon fax instructions and communications.
